Welcome to NurseUnchained.com. Nurse Unchained™ is an education and nurse-entrepreneurship brand operated by Venoir, LLC (“Nurse Unchained,” “Venoir,” “we,” “us,” or “our”).

These Terms govern your use of NurseUnchained.com and your purchase or use of books, digital products, online-access resources, templates, assessments, consulting sessions, implementation services, and related offerings.

By accessing the website, creating an account, purchasing a product, booking a service, or selecting the acceptance checkbox at checkout, you acknowledge that you have read, understood, and agreed to these Terms.

1. Scope of Offerings

Nurse Unchained may provide:

  • Printed books, workbooks, notebooks, and toolkits;
  • PDFs, eBooks, downloadable files, and digital bundles;
  • Editable forms, scripts, checklists, and business templates;
  • Online-access books, guides, toolkits, and educational resources;
  • Educational sessions, assessments, and consultations;
  • Nurse Business Launch Concierge™ assessments and implementation services; and
  • Other educational and business-development resources for nurses.

Specific features, formats, inclusions, prices, access periods, and delivery terms are stated on the applicable product or service page.

2. Eligibility

To purchase or use Nurse Unchained products or services, you must:

  • Be at least 18 years old;
  • Have legal capacity to enter into a binding agreement;
  • Provide accurate billing, contact, and account information;
  • Use the materials and services only for lawful purposes; and
  • Comply with the license and use restrictions in these Terms.

Nurse Unchained may refuse, limit, suspend, or cancel an order or account involving suspected fraud, infringement, unlawful activity, credential sharing, abuse, or material violation of these Terms.

3. Educational and Professional Disclaimer

Nurse Unchained provides education, general business information, organizational tools, and implementation support.

Unless expressly stated in a separate written agreement, Nurse Unchained does not provide:

  • Legal advice or legal representation;
  • Tax, accounting, or financial advice;
  • Investment advice;
  • Insurance or credentialing advice;
  • State-specific licensing determinations;
  • Regulatory approval;
  • Employment advice;
  • Clinical direction for an individual patient; or
  • A substitute for advice from a qualified professional.

Purchasers and clients remain responsible for consulting appropriate professionals and verifying requirements with applicable:

  • Boards of nursing;
  • Licensing authorities;
  • Attorneys;
  • Accountants and tax professionals;
  • Insurance professionals;
  • Healthcare providers;
  • Federal, state, and local agencies; and
  • Other regulatory or professional authorities.

Information may become outdated as laws, regulations, professional standards, platform rules, technologies, or business conditions change.

4. No Guarantee of Business Results

Purchasing or using a Nurse Unchained product or service does not guarantee:

  • Business formation or approval;
  • Licensure, certification, or regulatory authorization;
  • Legal or regulatory compliance;
  • Financing or payment-processing approval;
  • Website or advertising approval;
  • Client acquisition;
  • Leads, sales, revenue, profit, or return on investment;
  • Search-engine ranking or social-media growth;
  • Successful launch by a particular date; or
  • Any other particular personal, professional, or financial result.

Results depend on the purchaser’s decisions, qualifications, market, jurisdiction, implementation, pricing, financial resources, participation, and other factors outside Nurse Unchained’s control.

Testimonials, examples, projections, and illustrations are not promises of typical or guaranteed results.

5. Prices, Payments, and Orders

Prices are displayed on the applicable product or service page and may change prospectively.

By submitting an order, you authorize the selected payment method to be charged for:

  • The purchase price;
  • Applicable taxes;
  • Shipping charges;
  • Approved add-ons; and
  • Other amounts disclosed before payment.

An order may be declined or canceled because of:

  • Payment failure;
  • Suspected fraud;
  • Pricing or listing error;
  • Product unavailability;
  • Duplicate order;
  • Service-capacity limitations;
  • Geographic restrictions; or
  • Violation of these Terms.

If Nurse Unchained cancels a paid order before delivering the product or beginning the service, the amount paid for the undelivered item or unperformed service will be refunded.

Discount codes cannot be combined unless expressly permitted. They have no cash value and may be modified or discontinued prospectively.

6. Digital Products

Digital products may include:

  • PDFs;
  • eBooks;
  • Downloadable workbooks;
  • Starter Packs;
  • Templates;
  • Scripts;
  • Checklists;
  • Business tools;
  • Digital bundles; and
  • Other electronically delivered materials.

Digital products are generally delivered immediately or shortly after successful payment through a download link, email, customer account, or access platform.

The purchaser is responsible for:

  • Providing a correct email address;
  • Downloading and safely storing eligible files;
  • Using compatible software and devices; and
  • Contacting support promptly if delivery or access fails.

Failure to open or download a delivered product does not make the purchase refundable.

7. Digital-Product Refunds

Because digital products provide immediate access to protected content, digital-product purchases are final and nonrefundable once the product, download link, or account access has been delivered, except where a refund is required by law.

If you:

  • Do not receive your purchase;
  • Receive the wrong file;
  • Receive a corrupted or unusable file;
  • Experience a verified technical access problem; or
  • Accidentally place an exact duplicate order,

contact us so we can investigate and provide appropriate assistance.

Access support, file replacement, or correction of a delivery problem does not automatically create a right to a refund when the purchased content has otherwise been delivered.

8. Online-Access Products

Some products are accessed through a website, customer account, learning platform, digital reader, or other online system instead of—or in addition to—a downloadable file.

The product page or checkout description will state the access format and any specified access period. That description controls the access period for the purchase.

Online access:

  • Is licensed to one purchaser;
  • Is for the purchaser’s authorized use only;
  • Is not transferable;
  • Does not create ownership of the platform or protected content; and
  • May require an active account and compatible internet-connected device.

Unless the product description expressly states otherwise, purchasing online access does not guarantee that every resource can be downloaded, printed, copied, or accessed offline.

Account Security

You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account.

You may not:

  • Share your account or password;
  • Allow multiple people to use a single-user purchase;
  • Sell, rent, transfer, or sublicense access;
  • Screen-record or systematically capture protected content;
  • Scrape, extract, or reproduce platform content;
  • Circumvent access controls; or
  • Use automated systems to download or copy materials.

Nurse Unchained may suspend or terminate access for fraud, unauthorized sharing, infringement, chargeback abuse, security threats, or material violation of these Terms.

Platform Availability

Reasonable efforts will be made to maintain access, but uninterrupted availability cannot be guaranteed. Access may be temporarily affected by:

  • Maintenance;
  • Security updates;
  • Hosting failures;
  • Internet outages;
  • Platform changes;
  • Software incompatibility; or
  • Events outside our reasonable control.

If a material access problem is within our control, we will make reasonable efforts to restore access or provide a reasonable alternative.

Do not interpret “online access” as lifetime access unless the product page expressly uses and defines that term.

9. License for Books and Educational Resources

Unless a product page states otherwise, the purchaser receives a limited, revocable, nonexclusive, nontransferable license to use the purchased content for personal educational purposes.

You may not:

  • Copy or reproduce substantial portions;
  • Resell or redistribute the content;
  • Share files or login credentials;
  • Upload the content to a public or private sharing platform;
  • Include the content in a membership, course, coaching program, or client package;
  • Remove copyright or trademark notices;
  • Claim authorship or ownership;
  • Use the content to train an artificial-intelligence system;
  • Create or sell a substantially similar derivative product; or
  • Use the content for any unlawful purpose.

Purchasing a product does not transfer copyright, trademark rights, or ownership of the underlying content.

10. License for Editable Templates and Starter Packs

Products expressly identified as editable templates, forms, or Starter Packs may include a limited internal-business-use license.

Subject to the applicable product description, the original purchaser may:

  • Customize designated templates with the purchaser’s business information;
  • Use customized versions internally in the purchaser’s own business; and
  • Provide an appropriately customized form to the purchaser’s own clients when reasonably necessary for the purchaser’s service delivery.

The purchaser may not:

  • Resell the original or modified templates;
  • Distribute blank or editable versions to others;
  • Sell the templates as standalone products;
  • Include them in another course, membership, bundle, or template library;
  • Share them with another business;
  • Claim authorship of the original content; or
  • Use the templates to provide document-resale or template-creation services.

Templates must be independently reviewed and adapted for the purchaser’s jurisdiction, business model, scope of practice, insurer, attorney, and regulatory requirements. Nurse Unchained does not guarantee that a template satisfies every legal or professional requirement.

11. Print Orders, Shipping, and Fulfillment

Print products may be fulfilled directly by Nurse Unchained or by a third-party printer or fulfillment provider.

Unless the product page states otherwise:

  • Processing generally takes approximately 1–3 business days;
  • Carrier delivery time is additional;
  • Estimated U.S. delivery may take approximately 5–10 business days after shipment; and
  • Delivery dates are estimates, not guarantees.

Processing and delivery may take longer during holidays, launches, carrier disruptions, severe weather, high-volume periods, address problems, or other events outside our reasonable control.

The purchaser is responsible for providing a complete and accurate shipping address. Additional shipping charges may apply when an order must be resent because the purchaser supplied an incorrect or incomplete address.

Risk of loss and title transfer as provided by applicable law and the fulfillment arrangement.

12. Print-Order Cancellation

You may submit a cancellation request within 30 minutes after placing a print order.

We will honor the request when reasonably possible, but cancellation cannot be guaranteed once production, fulfillment, or shipment has begun.

A cancellation request is not approved until you receive written confirmation.

Digital products and online-access components delivered with a bundle remain subject to the digital-product refund rules, even when a related physical order is canceled or returned.

13. Print Returns

Eligible print-book returns may be requested within 14 calendar days after confirmed delivery.

Before returning an item, contact us for authorization and return instructions. Unauthorized returns may be refused or delayed.

To qualify for a discretionary return, the item must be:

  • In its original condition;
  • Unused and unmarked;
  • Free from damage caused after delivery;
  • In its original packaging when applicable; and
  • Returned according to the provided instructions.

Unless an item was damaged, defective, or incorrect when delivered:

  • The customer is responsible for return shipping;
  • Original shipping charges are nonrefundable; and
  • The customer bears the risk of loss during return shipping.

Refunds are issued after the returned item is received and inspected. Approved refunds are sent to the original payment method. Financial institutions may take up to 10 business days or longer to post the credit.

Personalized, customized, clearance, final-sale, or materially used products are not returnable unless damaged, defective, incorrect, or otherwise required by law.

14. Damaged, Defective, or Incorrect Print Items

If a print item arrives damaged, defective, or incorrect, contact info@nurseunchained.com promptly and include:

  • Your name;
  • Order number;
  • Description of the problem;
  • Photograph of the item and packaging; and
  • Any other information reasonably needed to verify the claim.

After verification, we may provide an appropriate replacement, correction, refund, or other remedy.

Do not discard the product or packaging until you receive instructions.

15. Bundled Products

A bundle may include digital, online-access, and physical components. Each component is governed by the policy applicable to its format.

Returning a physical component does not make a delivered digital or online-access component refundable.

If a bundled price included a discount and a partial return is approved, the refund may be calculated based on the value allocated to the eligible returned component, as disclosed by the bundle structure and permitted by law.

16. Consultations and Scheduled Sessions

Consultations and other scheduled sessions must generally be paid in advance.

Unless a different policy is displayed when booking:

  • At least 24 hours’ notice is required to reschedule;
  • A session may be rescheduled one time, subject to availability;
  • Late cancellations and no-shows forfeit the session payment; and
  • Additional sessions or work outside the purchased session are billed separately.

A consultation provides education and general guidance. It does not create an attorney-client, accountant-client, financial-adviser, employment-adviser, or regulatory-agency relationship.

17. Nurse Business Launch Concierge™ Assessment

The Launch Readiness & Compliance Assessment is a required, standalone professional service for applicants seeking consideration for Nurse Business Launch Concierge™ implementation.

The assessment:

  • Provides independent review and value;
  • Is not merely an application fee or implementation deposit;
  • Does not guarantee acceptance into the full implementation engagement;
  • Does not guarantee that the proposed business is lawful, viable, profitable, insurable, or eligible for licensure;
  • Relies substantially on the accuracy and completeness of information provided by the applicant; and
  • Does not replace review by an attorney, accountant, insurer, board of nursing, licensing agency, or other qualified authority.

The assessment may identify questions, risks, missing information, or matters requiring professional or regulatory review. It is not a legal opinion or regulatory approval.

Assessment Payment and Refunds

The assessment fee displayed at checkout is due before work is scheduled or begins.

Because capacity, review time, preparation, and professional analysis are reserved for the purchaser, the assessment fee becomes nonrefundable once any of the following occurs:

  • The assessment questionnaire or materials are accessed;
  • Document review begins;
  • Research or preparation begins;
  • An assessment session is scheduled within the restricted cancellation period;
  • The assessment session takes place; or
  • The written assessment or recommendations are delivered.

If Nurse Unchained cancels the assessment before performing substantive work and cannot provide a reasonable alternative, the amount paid for the unperformed assessment will be refunded.

18. Acceptance Into the Full Implementation Service

Completing the assessment does not obligate Nurse Unchained to offer and does not obligate the applicant to purchase a full implementation engagement.

Acceptance may depend on:

  • The proposed business model;
  • Professional scope and qualifications;
  • Jurisdiction;
  • Compliance concerns;
  • Project complexity;
  • Client readiness;
  • Required budget;
  • Technology requirements;
  • Capacity and scheduling;
  • Ability to obtain professional review or third-party approvals; and
  • Overall project fit.

Nurse Unchained may decline a project that appears unlawful, misleading, unsafe, outside available competency or capacity, or inconsistent with professional and ethical standards.

19. Nurse Business Launch Concierge™ Implementation

A full implementation engagement begins only after:

  • The applicant is accepted;
  • A written service agreement and scope of work are approved;
  • Required questionnaires and documents are completed;
  • Required payment is received; and
  • The project start is confirmed in writing.

Marketing language such as “implemented for you,” “done for you,” or “we build the business” refers only to the specific deliverables listed in the signed scope of work. It does not mean Nurse Unchained assumes ownership, management, clinical responsibility, regulatory responsibility, or ongoing operation of the client’s business.

20. Scope of Work and Order of Precedence

Every implementation engagement will have a written service agreement, proposal, or scope of work identifying:

  • Included deliverables;
  • Excluded services;
  • Project phases;
  • Client responsibilities;
  • Payment terms;
  • Revision limits;
  • Communication methods;
  • Estimated timeline;
  • Handoff terms; and
  • Any post-delivery support.

If these website Terms conflict with a signed service agreement or scope of work, the signed agreement controls for that particular engagement.

Requests outside the approved scope may require:

  • A written change order;
  • Additional payment;
  • Additional time; or
  • Referral to another professional.

Nurse Unchained is not required to perform out-of-scope work without written agreement.

21. Estimated 30–45-Day Timeline

The implementation service is designed to be completed in approximately 30–45 days under normal project conditions.

This is a target estimate, not a guaranteed completion date.

The timeline depends on:

  • Timely completion of onboarding;
  • Prompt client decisions and approvals;
  • Receipt of accurate content and documentation;
  • Payment according to schedule;
  • Availability of domains, software, platforms, and vendors;
  • Attorney, accountant, insurer, licensing, payment-processor, hosting, or regulatory review;
  • The number and complexity of requested revisions; and
  • Events outside Nurse Unchained’s reasonable control.

Client delays, incomplete information, changed direction, expanded scope, platform problems, third-party approvals, or regulatory questions may extend the timeline.

22. Client Participation and Responsibilities

Implementation is collaborative. The client agrees to:

  • Provide complete and accurate information;
  • Complete onboarding by the stated deadlines;
  • Provide requested credentials through an approved method;
  • Review and approve deliverables promptly;
  • Obtain required legal, tax, insurance, clinical, and regulatory advice;
  • Verify scope-of-practice and licensing requirements;
  • Purchase required third-party services;
  • Maintain valid accounts and payment methods;
  • Secure rights to all client-supplied names, images, text, trademarks, and other materials;
  • Avoid requesting false, misleading, infringing, unlawful, or professionally inappropriate content; and
  • Make final business and compliance decisions.

Nurse Unchained is not responsible for delays, errors, added costs, or adverse outcomes caused by inaccurate information, withheld information, missed deadlines, failure to obtain professional review, or unauthorized client actions.

23. Client Delays, Pauses, and Inactivity

If the client misses a deadline or becomes unresponsive, Nurse Unchained may pause the project and revise the delivery schedule.

A project may be considered inactive or abandoned after the inactivity period stated in the signed agreement. Reactivation may require:

  • A reactivation fee;
  • Payment of outstanding amounts;
  • A revised scope;
  • Placement into the next available opening; or
  • A new agreement.

Fees already earned for completed work, reserved capacity, purchased resources, or nonrecoverable third-party costs remain nonrefundable to the extent permitted by law.

24. Revisions and Approvals

The number and type of included revisions will be stated in the scope of work.

A revision means a reasonable modification to an existing approved direction. It does not include:

  • Replacing the approved business concept;
  • Changing the brand after approval;
  • Rebuilding completed deliverables;
  • Adding new pages, offers, systems, or integrations;
  • Correcting inaccurate information supplied by the client after approval; or
  • Restarting a completed phase.

The client is responsible for reviewing names, prices, links, policies, contact information, disclaimers, spelling, claims, and business details before final approval.

Client approval authorizes Nurse Unchained to proceed to the next project stage.

25. Third-Party Costs and Platforms

Unless expressly included in writing, the client is responsible for third-party expenses, including:

  • Business registration fees;
  • Attorney and accountant fees;
  • Insurance;
  • Licenses and permits;
  • Domain registration;
  • Website hosting;
  • Premium themes and plugins;
  • Email services;
  • Payment processing;
  • Printing and shipping;
  • Advertising;
  • Stock images;
  • Software subscriptions; and
  • Other vendor charges.

Third-party services are governed by their own terms, prices, eligibility rules, and privacy practices.

Nurse Unchained does not control or guarantee approval, performance, uptime, continued availability, compatibility, pricing, or policy decisions of third-party platforms.

26. Compliance and Professional Review

Nurse Unchained may organize business infrastructure and provide draft policies, forms, disclosures, website language, operational tools, or compliance checklists. These materials are not a substitute for professional legal or regulatory review.

The client is solely responsible for obtaining final approval from appropriate professionals and agencies before using materials or offering services to the public.

Nurse Unchained may require written confirmation that the client has completed specified legal, regulatory, insurance, or professional reviews before launch or handoff.

Refusal or failure to obtain required review may delay or limit delivery and does not automatically create a right to a refund.

27. Ownership of Implementation Deliverables

Ownership will be governed by the signed service agreement.

Unless that agreement states otherwise:

  • The client retains ownership of original materials supplied by the client.
  • Nurse Unchained retains ownership of its preexisting methods, frameworks, systems, templates, educational content, processes, and intellectual property.
  • Third-party materials remain subject to their respective licenses.
  • Rights to eligible custom final deliverables transfer only after full payment.
  • Drafts, rejected concepts, working files, internal notes, and unused materials remain Nurse Unchained property.
  • Any Nurse Unchained templates incorporated into a project are licensed—not sold—and remain subject to stated restrictions.

The client may not extract, resell, or redistribute Nurse Unchained’s underlying templates, systems, or proprietary methods.

28. Project Handoff and Support

At handoff, the client assumes responsibility for:

  • Operating and maintaining the business;
  • Renewing domains, hosting, subscriptions, and licenses;
  • Protecting account credentials;
  • Updating information and policies;
  • Maintaining backups and security;
  • Monitoring legal and regulatory changes;
  • Managing customers and vendors; and
  • Obtaining ongoing professional advice.

Post-delivery support is limited to the period and scope stated in the service agreement. Continued maintenance, revisions, training, consulting, technical support, or operational assistance may require a separate paid agreement.

29. Termination of Implementation Services

Either party may terminate an implementation engagement as permitted by the signed service agreement.

Nurse Unchained may suspend or terminate services for:

  • Nonpayment;
  • Extended inactivity;
  • Abusive or threatening behavior;
  • Fraud or material misrepresentation;
  • Unlawful or unethical requests;
  • Intellectual-property infringement;
  • Repeated failure to provide required information;
  • Refusal to obtain required professional review; or
  • Material breach of the agreement.

Upon termination, the client remains responsible for work completed, reserved capacity, approved expenses, third-party charges, and other earned amounts. Any refund for unearned work will be determined under the signed agreement and applicable law.

30. Intellectual Property

Nurse Unchained™ names, trademarks, logos, books, workbooks, Starter Packs, templates, scripts, systems, assessments, website content, graphics, educational materials, and other original content are owned by or licensed to Venoir, LLC.

No purchase transfers ownership of Nurse Unchained intellectual property except to the limited extent expressly stated in writing.

Unauthorized reproduction, distribution, sale, account sharing, marketplace uploading, copying, or commercial exploitation may result in:

  • Termination of access;
  • Cancellation of licenses;
  • Preservation of evidence;
  • Platform infringement reports; and
  • Other remedies available under law.

31. Reviews, Testimonials, and User Submissions

If you voluntarily submit a review, testimonial, photograph, comment, or other content, you represent that:

  • It reflects your honest experience;
  • You have the right to submit it;
  • It does not violate another person’s rights; and
  • It does not contain unlawful or confidential information.

Nurse Unchained will request appropriate permission before using identifiable client information or a private implementation project as a public case study or testimonial.

No protected health information should be included in public reviews, comments, or submissions.

32. Prohibited Conduct

You may not:

  • Use the website unlawfully;
  • Misrepresent your identity or qualifications;
  • Share accounts or purchased files;
  • Copy, scrape, or reverse engineer protected content;
  • Circumvent access controls;
  • Upload malicious code;
  • Infringe intellectual-property rights;
  • Use materials to mislead clients or regulators;
  • Harass or threaten staff or other users;
  • Submit fraudulent payment disputes; or
  • Use Nurse Unchained materials to create a competing template, course, book, or product.

33. Chargebacks and Payment Disputes

Contact us first if you believe a charge is incorrect or a product was not delivered.

Nothing in these Terms limits a consumer’s lawful dispute rights. However, knowingly filing a false or misleading payment dispute after receiving a product or service may result in suspension of access and collection of amounts lawfully owed.

Nurse Unchained may provide payment processors with order records, delivery records, access logs, communications, signed agreements, and other relevant evidence when responding to a dispute.

34. Third-Party Links and Services

The website may contain links to third-party websites, software, vendors, books, agencies, or other resources.

Links are provided for convenience and do not guarantee or endorse a third party’s services. Nurse Unchained is not responsible for unrelated third-party content, policies, security, performance, prices, or decisions.

35. Website Availability and Accuracy

Nurse Unchained makes reasonable efforts to maintain accurate information and website availability but does not guarantee uninterrupted access or error-free content.

We may correct:

  • Typographical errors;
  • Pricing errors;
  • Broken links;
  • Product-description errors;
  • Technical problems; or
  • Outdated information.

If an error materially affects a completed purchase, we will provide an appropriate correction or remedy consistent with applicable law.

36. Disclaimer of Warranties

To the maximum extent permitted by law, the website, educational materials, and general resources are provided “as is” and “as available.”

Nurse Unchained does not make warranties beyond those expressly stated in writing or required by law.

Nothing in this section eliminates nonwaivable consumer rights or express obligations contained in a signed service agreement.

37. Limitation of Liability

To the maximum extent permitted by law, Venoir, LLC and Nurse Unchained are not liable for indirect, incidental, special, exemplary, or consequential damages arising from website use, educational products, business decisions, third-party services, or results outside the expressly agreed scope.

For claims involving a purchased product or service, aggregate liability will not exceed the amount paid for the product or service giving rise to the claim, except where a different limitation is stated in a signed agreement or where applicable law prohibits the limitation.

Nothing in these Terms excludes liability for gross negligence, willful misconduct, infringement, or another obligation that cannot lawfully be limited.

38. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Venoir, LLC, Nurse Unchained, and their personnel from third-party claims arising from:

  • Your unlawful business activities;
  • Your misuse or unauthorized distribution of materials;
  • Your infringement of another person’s rights;
  • False or misleading information you provide;
  • Client-supplied materials;
  • Your violation of professional or regulatory requirements; or
  • Your material breach of these Terms.

This provision does not require you to indemnify Nurse Unchained for its own gross negligence, willful misconduct, or liability that cannot legally be transferred.

39. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Legal actions concerning these Terms must be brought in a court with proper jurisdiction in the Georgia county where Venoir, LLC maintains its principal business office, unless applicable law requires otherwise.

40. Force Majeure

Neither party is responsible for delay caused by circumstances beyond reasonable control, including severe weather, illness, natural disaster, government action, widespread technology failure, labor disruption, carrier interruption, utility failure, cyberattack, or third-party platform outage.

Payment remains due for work already completed and nonrecoverable expenses already incurred.

41. Changes to These Terms

These Terms may be updated periodically. The revised version will be posted with a new “Last Updated” date.

Changes apply prospectively. The terms accepted when a customer places an order or enters a signed engagement will continue to govern that transaction unless the parties agree otherwise in writing.

42. Severability and Waiver

If any provision is held unenforceable, the remaining provisions remain effective.

Failure to enforce a provision does not waive the right to enforce it later.

Headings are provided for readability and do not alter the meaning of these Terms.

43. Entire Agreement

These Terms, together with the applicable:

  • Product description;
  • Refund and return policy;
  • Privacy Policy;
  • Checkout disclosures;
  • Assessment acknowledgment;
  • Service agreement;
  • Proposal;
  • Scope of work; and
  • Written change orders

constitute the agreement governing the applicable purchase or service.

For a customized implementation engagement, the signed service agreement and scope of work control if they conflict with these general website Terms.
